CONSTITUTION OF: THE NORTH SHORE AP / DP NETWORK (NSADP)
Name: The name of the organisation shall be the North Shore AP / DP Network (NSADP)
1- OBJECTIVES, KAUPAPA, AND VISION:
The objectives, kaupapa and vision of the Association shall be:
1.1 To uphold the principles of Te Tiriti o Waitangi.
1.2 To advance the cause of education.
1.3 To advance and maintain leadership of leaders.
1.4 To provide opportunities for professional. development, discussion and social interaction among members.
2- MEMBERSHIP:
2.1 Membership shall be open to all current school deputy principals, associate
principals, assistant principals, and other middle leaders in the North Shore cluster area for deputy principals, associate principals, assistant principals, as determined by the Ministry of Education.
2.2 Acting deputy principals, associate principals, assistant principals of member schools will be invited to attend meetings.
2.3 Only fully paid members and associates will be permitted to vote.
3- SUBSCRIPTIONS:
3.1 The annual subscription shall be fixed at the Annual Meeting and be payable by the end of March.
4- MEETINGS:
4.1 The Annual General Meeting shall be held during Term 1 on a day set by the Executive Committee.
4.2 At least seven days’ notice of each meeting, in the form of an agenda, shall be emailed to each member by the Secretary or President.
4.3 Executive meetings are to be decided on by the Executive at the beginning of each year. Additional meetings can be called through the year as needed.
4.4 The agenda for the Annual General Meeting shall include the following:
Minutes of the previous AGM
Annual Report of the President
End of Year Financial Statements
Election of Office Holders
5- GENERAL BUSINESS:
5.1 Set Subscription for Year.
5.2 The meetings will be chaired by the President or in his/her absence another member of the Executive Committee.
6- POWERS OF MEMBERS:
6.1 Each member will have a right to one vote at any meeting; other than Executive Meetings.
6.2 The President will have a casting vote if needed.
6.3 All members shall have speaking rights at all Annual General Meetings and
Special Meetings.
6.4 Members, not elected to the Executive, may be given speaking rights by the President at Executive Meetings.
7- OFFICERS:
7.1 The Executive Committee shall be made up of elected representatives from North Shore Schools cluster, as listed below.
7.2 The Executive will elect the following Executive Officers at the first meeting of the year:
President
Vice President
Treasurer
Secretary
Business Manager
7.3 The Executive Committee shall have the power to fill casual vacancies or specific roles by co-opting members or selecting from the Executive approved by a majority vote from the Executive Committee.
7.4 The Executive Committee shall be responsible to the Association for all decisions.
8- SUB-COMMITTEES:
8.1 The Executive Committee may appoint sub-committees for specific purposes and/or representatives on other organisations if required. The President shall be an ex-officio member of all such sub-committees.
9- QUORUM:
9.1 The quorum at an Annual General Meeting or a Special Meeting shall be six members.
9.2 The quorum at an Executive meeting shall be one more than half the number of the Executive members.
10- ELECTIONS:
10.1 Sub clusters must go through an election process to elect ONE (1) representatives onto the Executive.
10.2 Nominations shall be called and completed by each Sub Cluster within the NSPA in writing on forms made available to members by the Secretary fourteen (14) days prior to the last Executive Meeting of the year.
10.4 In the event of insufficient nominees being received from within the Sub Cluster for the Executive, candidates so nominated shall be declared elected and further nominations will be called at the last meeting of the year to fill the remaining vacancies.
10.5 Nominators and nominees must be financial members.
10.6 If an elected member of the Executive leaves the NSADP then the Sub-Cluster can elect another representative to fill the position until the end of that term in office.
10.7 If an elected member moves Sub-Clusters in the NSADP, then that principal will complete the term of Office.
11- FINANCES:
11.1 All monies received shall be deposited in accounts at the ASB. The account is named the North Shore Senior Management Association.
11.2 Such accounts shall be operated by any two of the following: President, a Vice-President, Secretary, Treasurer.
11.3 Funds will be used to ensure that the objectives of the NSADP can be successfully met.
11.4 A draft budget will be set in November each year for the following year and accepted at the first Executive Meeting of the year.
11.5 A report on the Finances will be provided at each Executive meeting.
11.6 The Accounts will operate from January 1 to December 31 each year, with a Financial Report presented to the Annual General Meeting.
12- CONFLICT OF INTEREST:
12.1 A conflict of interest exists for an Executive or appointed Member if the member’s interests or duty in a particular matter conflicts, or might conflict, with his or her duty to the Collective objectives of the NSADP.
12.2 When a conflict of interest exists for a Committee Member, that Committee Member must declare the nature of the conflict or the potential conflict. The Committee Member must not take part in deliberations or proceedings, including decision-making in relation to the conflict of interest. The Committee Member must not be counted in the quorum required for decision-making on the matter for which he or she has the conflict of interest.
13- PRIVATE PROFIT:
13.1 All income, benefit, or advantage must be used to advance the purposes of the Association.
13.2 No member of the Association, or anyone associated with a member, is allowed to take part in or influence any decision made by the Association in respect of payments to, or on behalf of, the member or associated person of any income, benefit, or advantage.
14- REVIEW AND ALTERATIONS TO THE CONSTITUTION:
14.1 If any of the following events occur, it is the responsibility of the Executive.
Committee to review the Constitution.
A Legislation Change that could impact on the Constitution.
Changes to the Executive Committee structure.
The Association is not working within the framework of the Constitution.
14.2 Alterations to the Constitution may be made at an Annual General Meeting or a Special General Meeting called for the specific purpose, provided 20 working days’ notice of intention to hold such a meeting is advertised to Deputy Principals, Associate Principals, Assistant Principals and copies are available to those interested. Alterations to be made must be supported by two thirds of those present at the meeting at which the constitutional changes are proposed.
15- CODE OF CONDUCT:
15.1 The North Shore Senior Leaders Association expects all members to adhere to the various Codes of Conduct they have agreed to such as the Teacher s Council Code and Principal Code of Conduct to ensure the organisation is not brought into disrepute and members show respect / manaakitanga to all.
16- MEDIA STATEMENT:
16.1 The President or Presidents’ nominee are the designated media contacts for the NSSLA.
